About the Role

A leading organisation in the financial services industry is seeking a commercially minded and experienced Senior Legal Officer (Commercial/Litigation) to lead its legal and governance function based in Port Moresby.

This integral role oversees all legal, regulatory, and assists in company secretarial matters across the organisation, supported by two direct reports, and serves as the primary legal advisor to the executive team—responsible for court representation on all litigation matters, contract reviews, supporting regulatory compliance, and ensuring adherence to corporate governance standards.

Key Responsibilities

• Support, lead and coordinate all Board and Shareholder meetings, ensuring timely preparation and distribution of board papers, minutes, and key governance documentation.
• Maintain and report on essential legal registers, including Conflicts of Interest and Common Seal, ensuring compliance with corporate governance requirements.
• Provide timely and strategic legal advice across the organisation, managing all commercial and litigation legal matters and supporting the executive team and Board with regular updates.
• Monitor and support the implementation of Board decisions and carry out additional legal and governance tasks as delegated by senior leadership.

Qualifications & Experience

• Bachelor’s Degree in Law with 8+ years’ experience within a corporate environment.
• Demonstrated experience in litigation and court representation
• Strong contract review and negotiation skills with a sound understanding of corporate governance and regulatory compliance
• Strong understanding in all Company Secretarial matters and logistics
• Excellent written and verbal communication skills
• Strong leadership and interpersonal abilities to lead a small team
• High level of attention to detail and confidentiality
