A leading player in the financial services sector is seeking a highly organised and proactive Assistant Company Secretary to support the delivery of best-practice governance and secretariat services across a diverse group structure.
This role is ideal for someone who is proactive, detail-focused, and can confidently liaise with senior leaders and board members whilst meeting tight deadlines.
Key Responsibilities include in collaboration with the Company Secretary/Corporate Governance Manager:
- Board & Committee Management: Oversee all aspects of board and committee meetings including scheduling, agenda planning, minute-taking, and post-meeting follow-ups.
- Governance Support: Provide timely and accurate support across governance activities, board resolutions, regulatory filings, and director communications.
- Regulatory Compliance: Ensure compliance with BPNG prudential standards, internal policies, and statutory obligations, including SEC filings and stockholder communications.
- Subsidiary Oversight: Maintain accurate records for 100+ subsidiaries, including company registers, corporate consents, and regulatory submissions.
- Stakeholder Liaison: Act as a key point of contact between the board, management, legal advisors, regulators, and external service providers.
- Equity & Incentive Scheme Support: Assist in the administration of equity plans and support related reporting and documentation.
- Department Operations: Guide junior staff, manage departmental processes, and contribute to budgeting and cost tracking for external legal services.
- Tertiary qualification in Law, Business, or Accounting
- 3–5 years’ experience in an Assistant Company Secretary or senior governance support role
- Strong working knowledge of corporate governance, compliance and reporting
- Excellent time management, communication, and stakeholder engagement skills
- Must meet BPNG "fit and proper" standards and hold a valid PNG driver’s licence
