The role
The Legal Counsel role is pivotal to this mission. Reporting directly to the General Counsel, you will drive the company's continued success by providing expert legal assistance across a wide spectrum of corporate and commercial matters. This includes navigating intricate regulatory compliance frameworks, drafting and negotiating essential commercial agreements, and managing property leases. This role requires extensive collaboration with cross-functional business units—including Credit Control, HR, and Operations—to mitigate risk, manage legal issues as they arise, and align legal strategies with overall commercial objectives.

Main duties include:

• Provide timely, practical legal advice to internal stakeholders on corporate, commercial, HR, and OHS regulatory matters.
• Assist the General Counsel in drafting, reviewing, and negotiating a variety of commercial contracts, leases, and corporate legal documents.
• Navigate regulatory compliance frameworks by coordinating the renewal of factory licenses, trade permits, and environmental authorities.
• Manage litigation risks, issue letters of demand, and collaborate closely with credit control to manage debtor proceedings.
• Support corporate governance initiatives, including assisting with Board meeting preparation, annual reports, and IPA lodgements.
• Collaborate closely with cross-functional teams to foster a compliant work culture while driving business growth with speed and agility.

Qualification and Experience:

• Bachelor of Laws degree supported by a strong technical knowledge of PNG legislation.
• Must possess a current, valid Practicing Certificate in Papua New Guinea.
• 3–5 years of post-qualification experience (PQE) within a commercial or corporate environment (in-house legal department or law firm).
• Proven ability to draft commercial contracts, manage lease negotiations, and maintain regulatory compliance with external authorities.
• Possesses exceptional communication, negotiation, and interpersonal skills, coupled with a high attention to detail.
• A resilient professional with strong commercial awareness, capable of meeting tight reporting deadlines and working flexibly outside of normal hours when required.
